Subscription Terms and Conditions

Introduction

AvroKO Amenities (referred to as "AvroKO " or "Manufacturer") requires a minimum lead time of 6-9 weeks for the manufacturing of custom products. To ensure timely delivery and optimize operations, we have established a Subscription Agreement which includes the following terms to support proactive manufacturing for our clients.

  • Payment Information

A valid credit card must be kept on file. AvroKO Amenities also accepts payments via ACH or check. The preferred payment method must be selected and maintained as current in our records.

  • Order Placement and Lead Time

Subscription quantities for the year are set through a monthly projection and once determined, are final until the next annual reassessment.

  • Payment Terms

    Payments are due by the 15th of each month, based on the agreed-upon quantity of products. Failure to meet payment deadlines may result in production delays, delivery schedule adjustments, and a 5% monthly penalty on overdue amounts.

    • Order Adjustments

      Any request to increase order quantities must be communicated at least 4 weeks before the next scheduled delivery to allow for production adjustments.

      • Cancellation Policy

        Subscriptions may be canceled with a 30-day written notice. Subscribers are required to fulfill payment for all products for the subscribed period, including any in-progress or completed items at cancellation. Non-compliance may lead to legal action for outstanding payments.

        • Indemnification

          Subscribers agree to indemnify and hold AvroKO Amenities harmless against claims related to product use, terms breach, negligence, or infringement. AvroKO Amenities will inform the subscriber of any claims, which the subscriber has the right to defend against, except in cases of AvroKO Amenities’ willful misconduct or gross negligence.

          • Inventory Management and Communication

            Subscribers are solely responsible for their inventory management and timely communication. AvroKO Amenities is not liable for discrepancies resulting from subscriber error. Non-compliance or delayed payments may lead to service suspension or termination, with a 14-day rectification notice provided.

            • Resolution of Disputes

              Disputes will be resolved through negotiation, then mediation, followed by arbitration or litigation as a last resort, under the jurisdiction of New York State. Obligations are to be maintained during dispute resolution.

              • Service Scope and Alterations

                AvroKO Amenities reserves the right to modify the scope of subscription services with prior notice to subscribers, and to discontinue services under extenuating circumstances.

                • Rush Fee: In recognition of the planning and resources required for the expedited manufacturing of made-to-order products, a rush fee of $1,250 will be applied to any orders requiring a turnaround time shorter than the standard lead time of 6-9 weeks. This fee compensates for the additional allocation of resources and labor necessary to meet accelerated delivery timelines.

                • Automatic Renewal: This subscription agreement is subject to automatic renewal. Unless the subscriber notifies AvroKO in writing of their intention not to renew 30 days prior to the end of the current term, the subscription will automatically renew for the same term length at the current subscription rate and terms. 

                • Termination

                Either party may terminate the agreement under specific terms outlined herein, which include breach of contract or non-payment. 

                • Changes to Terms

                AvroKO Amenities reserves the right to amend these terms with reasonable notice, reflecting changes in market conditions, business strategy, or legal requirements.

                Acknowledgment of Terms

                By subscribing to AvroKO Amenities’ products or services, the client agrees to these terms, acknowledging their role and impact on the production process and financial commitments.
